Duties of Leeward Chapter Secretary

  1. The Secretary shall be elected by the membership for a term of two years. The Secretary shall keep all minutes of the meetings, be responsible for all communications and membership records. If no one is elected as Secretary then the President shall appoint someone
  1. The Secretary is a member of the Leeward Executive Board
  1. Meetings:
    1. Executive Board meetings are held at least once a month
    2. Representative Assembly meetings are held at least once a month

 

Powers and Duties of the Board of Director

  Duties of the Board of Directors:

  1. The Leeward-HSTA Board of Director is a member of the Chapter Executive Board which meets once a month. Special meetings of the Executive Board may be called by the Chapter President at his or her discretion.
  1. The Leeward-HSTA Board of Director, as a Chapter Executive Board member, is also a member of the Leeward Representative Assembly which meets once a month during the school year.
  1. The Leeward-HSTA Board of Director is also a member of the HSTA Board of Director (State Level) which meets bimonthly, a minimum of five times a year, at a time and place it shall determine. Special meetings may be called by the President of the Corporation, at his or her discretion, and shall be called on receipt of a written or confirmed oral request for such meeting from the majority of the Board members. A special meeting of the Board shall be held at the place of Convention within twenty four hours of the adjournment of that body.

Sec. 1  Executive Authority

The executive powers of the Corporation shall be vested in its officers and the Board of Directors

Sec. 4. Nomination, Election, Term of Office, and Districts

  1. Directors shall be elected for three-year terms, which shall overlap where the local chapter is

entitled to more than one director. A director’s term shall be from July 1 to June 30. No

director shall serve for more than two full consecutive terms, but may be elected again after

a lapse of one three-year term.

Sec. 6

  1. The Board shall engage in strategic planning that guides the Association in meeting its purpose. It shall evaluate current and projected activities to determine if the policies of the Corporation are being carried out.
  2. The Board shall administer, enforce, and, where necessary, interpret the Bylaws, oversee the collection and expenditure of dues and other income, and carry out the policies of the Corporation as established by the Convention.
  3. The Board shall, in even numbered years, submit a proposed budget for the ensuing two fiscal years to the Convention. The proposed budget shall show the total amount to be expended by each basic organizational function or division within the Corporation during the biennium. The proposed budget may also show such other detail as is necessary for proper understanding by the Convention of the requested amounts.

The Convention may approve the proposed budget or modify any amount proposed for particular organizational functions, divisions, individual accounts, or line items.

The Board shall administer the budget as adopted, and shall have the authority to shift funds between individual or line items, so long as such are within the same basic organizational function or division. The Board may, by vote of two-thirds of the votes cast on the question, exceed the total budget limit set by the Convention or transfer funds between basic organizational functions or divisions or provided that if it does so, it shall submit a written report of such action, and the reasons therefore, to the next Convention.

  1. The Board shall determine the salaries and benefits of employees of the Corporation or agree to such through collective bargaining where appropriate.
  2. The Board shall determine the allowances and benefits of the Corporation President.
  3. The Board shall have the authority to appoint, discharge, or contract with the Executive Director and to assign various duties to and determine the salary and other benefits of such person.
  4. The Board shall have the power to confirm or reject appointments made by the President of the Corporation to special committees, to the chairs of standing committees, and all other appointments where such appointees shall represent HSTA.
  5. The Board shall approve the establishment of special committees. The Board shall also approve the assignment of additional functions to standing or standing committees.
  6. The Board shall make provisions, as required, for the election or selection of the Corporation’s allotted members on the HEA Board of Directors.
  7. The Board shall, between Conventions, formulate the policies of the Corporation where such are not in conflict with policies adopted by the Convention. Any policies adopted by the Board shall be in writing, be reflected in the minutes, and be available for inspection by any active member. All policies shall remain in effect until rescinded by the Board. Copies of all policies shall be sent to each chapter.
  8. Each director shall be a voting member of the appropriate Representative Assembly. Each director shall also be an ex-officio voting member of his or her local chapter’s executive board. It shall be the duty of each director to attend meetings of the Representative Assembly and/or Executive Board and to act as liaison between such bodies and the Board of Directors.
  9. The Board shall ensure that there is a system that addresses concerns of teachers in the field.
  10. The Board shall set the time and place of the Convention.
